Acti Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", or "User") and TypeX Limited and its affiliates, which provide Acti (referred to throughout as "Acti", "we", "us", or "our"). They govern your access to and use of Acti's mobile and desktop apps (including the Mac app), keyboard, openacti.com, and related services Acti offers (collectively, the "Service").

By installing, enabling, or using Acti, you agree to these Terms and to the Acti Privacy Policy. If you do not agree, do not use Acti.

1. About Acti

Acti brings AI assistance, voice input, and personalized actions to everyday communication and work through its mobile keyboard and desktop apps, including Acti for Mac. The Service includes:

Typing and shortcuts: multilingual input and access to your chosen actions through Acti Wheel.
Acti AI and Acts: getting answers, creating and editing content, and discovering, creating, customizing, and running reusable actions (called Acts, previously Skills). Some actions use online tools or services you connect.
Voice: dictation, translation, text refinement, and spoken commands.
Cross-device features: saving and synchronizing content with Clips and sending voice-generated text to a connected computer with Phone Mic.

Features vary by platform, permissions, account, and plan. Some require an internet connection, a connected device, or a third-party account.

2. Eligibility

You must be at least 13 years old (or the higher minimum age required in your jurisdiction) to use the Service. By using Acti, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using Acti on behalf of an organization, you represent that you have authority to bind that organization.

3. Your Account

3.1 Sign-in

Some features can be used without signing in. Account-based features, including synchronization and connected services, require an account. You can create an Acti account using Sign in with Apple, Sign in with Google, or email + verification code. You are responsible for keeping your sign-in credentials and devices secure.

3.2 Profile

Your profile (display name, avatar, bio, UID, follower/following relationships) is created and managed within Acti. Some profile fields are visible to other users.

3.3 Membership Benefits

Available membership benefits and usage limits are shown in the Service. Existing Genesis and promotional benefits remain subject to the offer under which they were granted.

3.4 Account Deletion

You may delete your account using the account settings in Acti. Deletion and retention of associated information are described in our Privacy Policy. Content you have shared may remain in copies lawfully obtained by others. Deleting your account does not cancel a subscription purchased through an app store.

3.5 How We Communicate With You

Acti may send messages needed to provide the Service, such as verification codes, security alerts, and notices about your account or purchases. Where we send optional product or marketing messages, we obtain consent where required and provide a way to unsubscribe.

4. License to Use Acti

Subject to these Terms, Acti grants you a limited, non-exclusive, non-transferable license to use the Service for your lawful personal and work or business purposes. This includes using its supported AI, action, and automation features. This license does not transfer ownership of Acti's software or authorize you to resell access to the Service.

You may not bypass access controls, payment requirements, or usage limits; interfere with the Service; access another person's account without permission; or copy, redistribute, or reverse engineer Acti's software except where applicable law or an applicable open-source license permits it. These restrictions do not prevent you from using your own content or the Service's results in your work, subject to applicable law and third-party rights.

5. Device Permissions and Keyboard Network Access

To provide AI, voice, and cross-device features, the Acti keyboard needs to communicate with Acti's services. The way you grant this access depends on your operating system:

iOS — Apple requires you to enable "Allow Full Access" in your iOS keyboard settings before the Acti keyboard can use the network.
Android — When you enable Acti as an input method, the system will display a one-time warning about the level of access enabled keyboards can have. By enabling Acti, you allow the keyboard to communicate with Acti's services.

The Mac app uses microphone, Accessibility, Input Monitoring, and, for screen text capture, Screen Recording permissions as needed for the features you choose. Their purposes are described in the Privacy Policy, and you can manage these permissions in your system settings.

Acti does not maintain a remote log of ordinary keystrokes. Content used with online features is processed according to the features you use and your settings, as described in the Acti Privacy Policy.

6. User Content and Acts

6.1 What is "Your Content"

"Your Content" means the text, audio, images, Acts, and other content you submit, create, save, or share through the Service.

6.2 You retain ownership

You retain all ownership rights you have in Your Content.

6.3 License to Acti

You grant Acti the rights needed to host, store, process, transmit, and display Your Content to provide and maintain the features you use, carry out your instructions, and keep the Service secure. We may use service providers for these purposes, as described in our Privacy Policy.

When you choose to publish or share content, this permission also allows us to make that content available as you direct. It does not give Acti a general right to publish your private conversations, recordings, or saved content, or use them in advertising. Retention after deletion is subject to our Privacy Policy and copies already lawfully shared with others.

6.4 Public Acts

When you publish an Act to the community, you allow other users to discover and use it and, where the Service supports this, add, copy, or customize it. You must have the rights needed to make it available on that basis. Removing a public Act does not automatically remove copies already lawfully obtained by others.

Publishing or adding an Act does not give its creator access to another user's connected accounts or transfer the creator's account authorizations to other users.

6.5 Content Review

Public Acts are subject to content review. Acti may decline, restrict, or remove content that violates these Terms, applicable law, or others' rights. Review does not guarantee that an Act is accurate, safe, or suitable for your purpose.

6.6 Your responsibilities for Your Content

You represent and warrant that:

You own or have all necessary rights to Your Content and to grant the licenses above.
Your Content does not infringe or violate any third party's rights (intellectual property, privacy, publicity, contract, or otherwise).
Your Content complies with all applicable laws and with these Terms.

6.7 Community Conduct

When publishing or sharing Acts or interacting with other users, do not impersonate others, post misleading or infringing content, manipulate engagement or reports, or harvest other users' information. Acti may restrict content or accounts involved in abuse.

7. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party right.
Build, publish, or run Acts that generate or facilitate: child sexual abuse material; non-consensual intimate imagery; targeted harassment; threats of violence; instructions for weapons of mass destruction; mass surveillance; spam, phishing, or malware; election or voter manipulation; or unauthorized practice of regulated professions (e.g., medical, legal, or financial advice presented as authoritative).
Probe, scan, attack, or impair the integrity of the Service or its infrastructure.
Attempt to access another user's account, Credits, Acts, or connected tools without authorization.
Misrepresent that AI-generated output was produced by a human, where such misrepresentation is illegal or violates the rules of a third-party platform.
Use the Service in a way that exceeds the rate limits, Credits, or fair-use thresholds we set, or that imposes a disproportionate burden on the Service.

Acti may investigate, suspend, or terminate accounts and remove Acts for violations.

8. Reporting

You can report an Act through the reporting controls provided in the Service, or contact [email protected] about content or conduct that violates these Terms. Acti will review reports and take appropriate action.

9. Subscriptions and Credits

Acti offers free features and paid subscriptions. Prices, billing periods, included features, usage limits, and any trial or promotional terms are displayed before purchase.

Subscriptions renew automatically for successive billing periods unless canceled. You authorize the applicable store or payment provider to charge the disclosed subscription fees. You can manage or cancel your subscription through the channel where you purchased it, subject to that channel's cancellation deadlines and terms. Deleting your Acti account or uninstalling the app does not cancel a subscription.

Payments and refunds are handled by the applicable store or payment provider under its terms and applicable law. Nothing in these Terms limits any mandatory consumer rights.

Some features use Credits, an internal usage allowance included with your plan. Credits have no monetary value, cannot be transferred or exchanged for cash, and are subject to the allowance, reset periods, and expiration rules displayed in the Service. Monthly AI Credits do not roll over. Acti may adjust usage limits or restrict Credits to prevent abuse and maintain the Service, subject to the terms of your purchased plan and applicable law.

10. Third-Party Services and Connected Tools

10.1 Third-party services that power the Service

The Service relies on third parties to function. These include, without limitation, sign-in providers, analytics and diagnostics providers, authorization providers, and third-party large language model providers ("AI Providers"). Your use of those services through Acti is also governed by their respective terms and privacy policies. Acti is not responsible for the acts, omissions, availability, security, pricing, or policies of any third party.

10.2 Connected Tools

You may connect third-party services, such as Gmail, Slack, or Notion, so Acti can carry out your requests within the permissions you grant. You must have authority to connect and use the account. Connecting a service does not give Acti permission to use it for unrelated purposes.

Acti AI and Acts may use these connections as part of a request or workflow you initiate. Review the permissions, instructions, and any confirmations presented before authorizing an action. Depending on the action, Acti may read information, send content, or make changes in the connected service. You are responsible for the instructions and permissions you provide and for complying with the connected service's terms and applicable law.

You can manage or disconnect connections in Acti and revoke access through the third party. Revoking access prevents further use of that authorization but does not undo completed actions, such as a sent message or a changed document.

Third-party services control their own availability, permissions, and terms. Changes to those services may affect an Act or workflow. How connection information and data are processed is described in our Privacy Policy.

11. AI Output and Actions

Acti AI, Acts, and voice features may produce incorrect or incomplete text, mistranscribe speech, misunderstand an instruction, or return outdated information. Review results before relying on them, particularly for professional or consequential decisions. Acti is not a substitute for qualified medical, legal, financial, or other professional advice.

Some features carry out actions or deliver content to another app, connected service, or device. Check the instruction, destination, and any confirmation presented before authorizing the action. Completed actions may not be reversible, and a failed or interrupted connection does not necessarily mean that no action occurred.

11.1 Beta and Experimental Features

Acti may label certain features as "beta", "experimental", "early access", or similar. These features are provided to gather feedback and iterate quickly. They may:

be incomplete or unstable;
change, be replaced, or be removed at any time without notice;
not be subject to the same support or service-level commitments (if any) as generally available features;
carry additional risks (for example, an experimental Act type may misinterpret inputs more often than a stable one).

Use of beta features is voluntary and at your own risk. Feedback you share about a beta feature is governed by Section 12 (Intellectual Property).

12. Intellectual Property

The Service, including the Acti app, the Acti brand, the keyboard engine, the Act community, creation tools, default templates, documentation, and all related software and content (other than Your Content), is owned by Acti or its licensors and is protected by intellectual property and other laws. Except for the limited license in Section 4, no rights are granted to you.

If you submit feedback, ideas, or suggestions about the Service, you grant Acti a perpetual, irrevocable, royalty-free license to use them without obligation to you. This license remains subject to the consent requirements and data-use restrictions in our Privacy Policy, including those for voice feedback and corrections.

13. Copyright Complaints

If you believe content on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c)(3) (DMCA) to [email protected]. Acti responds to valid notices and may, in appropriate circumstances, terminate the accounts of repeat infringers.

14. Termination

You may stop using the Service at any time, uninstall Acti, or delete your account. Acti may suspend or terminate your access to the Service (in whole or in part), with or without notice, if you violate these Terms, if continued provision is no longer commercially viable, if required by law, or to protect the Service or other users.

Sections that by their nature should survive termination — including Sections 6.3 (license to Acti), 9 (billing and refund provisions), 11 (AI output and actions), 12 (IP), 15 (warranty disclaimer), 16 (limitation of liability), 17 (indemnity), and 18 (general) — survive termination.

14.1 Modifications to the Service

The Service is evolving. Subject to purchased-plan terms and applicable law, Acti may add, change, suspend, deprecate, limit, or discontinue any feature, Act type, Connected Tool, AI Provider, default template, layout, or other component of the Service at any time, with or without notice. Where a change materially reduces functionality you actively rely on, Acti will use reasonable efforts to provide advance notice in the app.

Acti may also impose or change limits on Act execution frequency, Credits, content size, file uploads, request rates, and similar quotas, including for individual accounts, in order to maintain the Service's stability or to prevent abuse.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. ACTI DOES NOT WARRANT THAT ANY ACT OR AI OUTPUT WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ACTI, TYPEX GROUP ENTITIES, THEIR AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR (B) ANY LOSS OF PROFITS, REVENUES, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ACTI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACTI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (I) USD $50 OR (II) THE AMOUNTS YOU PAID ACTI FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Without limiting the foregoing, Acti is not liable for any loss arising from: (i) your authorization of any Connected Tool, (ii) actions taken by an Act within a Connected Tool under your authorization, (iii) any third party's modification or termination of its API, terms, or service availability, or (iv) any decision a third party makes about your account on its platform.

Some jurisdictions do not allow certain disclaimers or limitations; in those jurisdictions, Acti's liability is limited to the smallest extent permitted by law.

17. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Acti, TypeX group entities, and their affiliates from any claim, loss, liability, demand, or expense (including reasonable attorneys' fees) arising out of: (a) Your Content; (b) your use of the Service in breach of these Terms; (c) your violation of any law or third-party right; or (d) any Act you publish.

18. General

Changes to Terms. Acti may update these Terms from time to time. If a change is material, Acti will provide reasonable notice (e.g., in-app notice or update prompt). Continued use of the Service after the update means you accept the updated Terms.
Entire agreement. These Terms (together with the Privacy Policy and any policies referenced from them) are the entire agreement between you and Acti regarding the Service.
Assignment. You may not assign these Terms without our prior written consent. Acti may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Severability. If any part of these Terms is held unenforceable, the rest remains in effect.
No waiver. Acti's failure to enforce a right is not a waiver of that right.
Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
Export and sanctions. You may not use, export, re-export, or transfer the Service in violation of any applicable export-control or sanctions law, including those of Singapore, the United States, the European Union, the United Kingdom, and your country of residence. You represent that you are not on any list of restricted or denied parties maintained by those authorities.
No third-party beneficiaries. Except for Apple under Section 19A, Google under Section 19B, and our affiliates, these Terms do not create any third-party beneficiary rights.
Headings. Section headings are for convenience and do not affect interpretation.
Notices to you. Acti may give you notice through the Service (in-app banners, in-app messages, or email to your account address). You consent to receiving notices electronically.
Notices to us. Send legal notices to [email protected].
Platform-specific terms. If you obtained Acti through the Apple App Store, the additional terms in Section 19A apply. If you obtained Acti through the Google Play Store, the additional terms in Section 19B apply.

19A. Additional Terms for the Apple App Store

The app license is governed by Apple's Standard End User License Agreement (EULA). These Terms additionally govern Acti's services and do not replace that EULA.

If you obtained Acti through the Apple App Store, you acknowledge:

These Terms are between you and Acti only, and not with Apple. Apple is not responsible for Acti or its content.
Your license to use Acti is limited to use on Apple-branded products that you own or control, as permitted by the App Store Terms of Service.
Apple has no obligation to provide maintenance or support for Acti. Any maintenance or support is the sole responsibility of Acti.
In the event of any failure of Acti to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for Acti to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Acti.
Acti, not Apple, is responsible for addressing any claims by you or any third party relating to Acti or your possession or use of Acti, including product-liability claims, claims that Acti fails to conform to any legal or regulatory requirement, and claims arising under consumer-protection or similar legislation.
In the event of any third-party claim that Acti or your use of it infringes that third party's intellectual property rights, Acti, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of such claim.
You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

19B. Additional Terms for the Google Play Store

If you obtained Acti through the Google Play Store, you acknowledge:

Your access to and use of Acti is also subject to the Google Play Terms of Service and any other applicable Google Play policies. These Terms are between you and Acti only, and not with Google. Google is not a party to these Terms and is not responsible for Acti or its content.
Google has no obligation to provide maintenance or support for Acti. Any maintenance or support for Acti is the sole responsibility of Acti.
Acti, not Google, is solely responsible for addressing any claims by you or any third party relating to Acti or your possession or use of Acti, including product-liability claims, claims that Acti fails to conform to any legal or regulatory requirement, claims arising under consumer-protection or similar legislation, and claims that Acti infringes any third party's intellectual property rights.
To the extent Acti contains any open-source software components, those components are governed by their own license terms, and Google has no obligation or responsibility with respect to those components.
You represent that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.
If you are using a Google Account managed by an organization (for example, an employer or school), additional restrictions imposed by that organization may apply.
