Terms of Service for ACTI

These Terms of Service ("Terms") govern your access to and use of Acti, including the Acti application, Acti Agent features, Acti website, Acti Web Dashboard, ACTIER Community, and related products and services (collectively, the "Services").
By downloading, accessing, or using Acti, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
1. Description of Service
Acti is an AI-powered productivity application and universal command interface that allows users to execute commands, route intents, create automations, and interact with third-party Large Language Models, APIs, and connected services.
Acti may provide agentic features, including but not limited to text transformation, content generation, information retrieval, workflow automation, email assistance, calendar assistance, meeting assistance, and other user-requested actions.
Acti acts as an interface, orchestration layer, and routing gateway for user-requested commands. Acti does not guarantee that any third-party service, API, model, or integration will remain available, accurate, or unchanged.
2. User Accounts and Responsibilities
To access certain features, such as saving configurations, connecting third-party services, using Acti Agent features, or publishing to the ACTIER Community, you may be required to create an account.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account.
You agree to provide accurate and current account information and to promptly update such information if it changes.
Acti reserves the right to suspend or terminate your account if we reasonably believe that your account has been used in an unauthorized, abusive, fraudulent, unlawful, or policy-violating manner.
3. Acceptable Use Policy
You agree not to use Acti to:
- Generate, transmit, publish, or promote content that is illegal, harmful, threatening, abusive, harassing, defamatory, hateful, discriminatory, vulgar, sexually explicit, exploitative, or otherwise objectionable.
- Violate or infringe upon the intellectual property rights, privacy rights, publicity rights, contractual rights, or other rights of any third party.
- Spam, mass-message, scrape, harvest, or conduct coordinated malicious or abusive activities using Acti's automated or agentic capabilities.
- Use Acti to generate phishing content, malware, credential theft attempts, unauthorized surveillance, or other deceptive or harmful activity.
- Reverse-engineer, decompile, disassemble, or attempt to extract the source code, model prompts, system architecture, or underlying infrastructure of Acti.
- Bypass, exploit, abuse, or attempt to overwhelm Acti's rate limits, usage limits, authentication systems, billing systems, or backend infrastructure.
- Use Acti to access, modify, delete, send, or distribute data without authorization.
- Use Acti in a way that violates the terms, policies, or rules of any third-party service connected to Acti.
Acti reserves the right to deploy automated or manual systems to detect, block, limit, or remove content, prompts, automations, accounts, or integrations that violate these Terms.
Acti may suspend, restrict, or permanently terminate access to the Services for users who violate these Terms.
4. Artificial Intelligence and Output Disclaimer
Acti may use third-party generative AI models, including but not limited to Google Gemini, OpenAI, Anthropic, or other AI providers, to process user-requested commands.
You acknowledge that AI is a probabilistic technology and may generate incorrect, incomplete, outdated, misleading, biased, inappropriate, or offensive outputs.
Acti does not guarantee the accuracy, reliability, completeness, legality, usefulness, or appropriateness of any generated content, retrieved information, automated action, recommendation, summary, translation, code snippet, draft, calendar event, email, meeting note, or other output.
You are solely responsible for reviewing, verifying, editing, approving, and deciding whether to use any output generated or assisted by Acti.
You are responsible for any action you take based on Acti outputs, including sending messages, sending emails, creating calendar events, joining meetings, publishing content, executing workflows, or making decisions.

Acti is not a legal, financial, medical, tax, investment, accounting, or professional advisor. Any information generated, retrieved, summarized, or suggested by Acti is for informational purposes only and should not be relied upon as professional advice.
Financial Information Disclaimer:
Any data retrieved regarding cryptocurrency prices, prediction markets, financial statistics, market data, or similar information is for informational purposes only. Acti is not a financial advisor. You bear full responsibility for any trades, investments, transactions, or decisions made based on information accessed or generated through Acti.
5. Third-Party Integrations and APIs
Acti may allow you to connect with external applications, platforms, APIs, and services, including but not limited to Google services, Notion, LinkedIn, X/Twitter, Slack, GitHub, and other third-party services.
Your use of third-party services is governed by their respective terms of service, privacy policies, developer policies, and usage rules.
Acti is not responsible for the availability, uptime, performance, accuracy, legality, security, or data practices of any third-party service, API, model, or platform.
If a third-party service changes its API rules, pricing, permissions, rate limits, availability, data access policies, or technical requirements, certain Acti features, integrations, automations, or agent capabilities may stop working, change, or be removed without notice.
You are responsible for ensuring that your use of third-party integrations through Acti complies with all applicable third-party terms and policies.
6. Google Services and User Authorization
Acti may provide integrations with Google services, including Google Sign-In, Gmail, Google Calendar, Google Meet, and other Google APIs.
Google integrations require user authorization through Google OAuth or another Google-approved authorization process.
By connecting your Google Account, you authorize Acti to access, process, and perform actions on Google data only as permitted by the scopes you approve and only for the features you choose to use.
Depending on the permissions granted and features enabled, Acti may assist with user-requested actions such as reading emails, searching emails, composing drafts, sending emails, modifying email labels, archiving emails, moving emails to trash, creating calendar events, editing calendar events, deleting calendar events, creating meeting links, retrieving meeting information, or managing meeting-related workflows.
You are solely responsible for reviewing and confirming any email, calendar event, meeting, message, draft, automation, or other action before it is sent, published, modified, deleted, or otherwise executed, unless you have intentionally enabled an automation that performs such actions.
Acti does not claim ownership of your Google data.
Your use of Google services through Acti remains subject to Google's applicable terms, policies, and account settings.
7. User-Generated Content and ACTIER Community
Users may create, save, publish, or share custom configurations, prompts, workflows, automations, agent instructions, templates, JSON configurations, and related materials within Acti or the ACTIER Community.
You retain ownership of the content and configurations you create, subject to the rights granted in these Terms.
By publishing or sharing content to the ACTIER Community, you grant Acti a worldwide, non-exclusive, royalty-free, sublicensable, transferable, and perpetual license to host, store, reproduce, distribute, display, modify, adapt, and make available such content for the purpose of operating, promoting, improving, and providing the Services.
You represent and warrant that you have all rights necessary to publish or share any content you submit to Acti or the ACTIER Community.
You may not create, publish, or distribute configurations, workflows, automations, prompts, or agent instructions designed to execute malicious code, phishing attempts, unauthorized scraping, credential theft, spam, harassment, unlawful surveillance, or unauthorized data access.
Acti reserves the right to remove, restrict, disable, or modify any community content or shared configuration at our sole discretion.
8. Automations and Agentic Actions
Acti may allow users to create or execute automations, workflows, agent instructions, or multi-step actions across connected services.
You are responsible for configuring, reviewing, approving, and monitoring any automation or agentic action you enable.
Acti does not guarantee that automations will execute correctly, continuously, on time, or without error.
Acti may limit, pause, disable, or reject automations to protect user safety, comply with law, enforce third-party service policies, prevent abuse, or maintain system stability.
You agree not to use Acti automations or agentic actions to perform unlawful, deceptive, harmful, unauthorized, or abusive activities.
9. Service Availability and Rate Limiting
Acti may offer free, trial, paid, or usage-based tiers of service.
Operating AI models, APIs, storage, compute, and integrations may incur significant costs. Acti reserves the right to impose limits on API calls, executions, automations, storage, bandwidth, connected accounts, community publishing, or other usage.
Acti may throttle, restrict, suspend, or terminate usage at any time, with or without notice, to protect system stability, security, cost controls, third-party API compliance, or the availability of the Services.
Acti does not guarantee uninterrupted, error-free, secure, or continuous availability of the Services.
10. Payments and Subscriptions
Certain Acti features may require payment, subscription, credits, usage-based billing, or other fees.
If you purchase a paid plan or subscription, you agree to pay all applicable fees, taxes, and charges.
Unless otherwise stated, fees are non-refundable except where required by law or by the applicable app store, payment processor, or platform policy.
Acti may change pricing, plan limits, included features, or billing terms from time to time. Where required, Acti will provide notice of material pricing or billing changes.
11. Intellectual Property
Acti and its software, design, trademarks, logos, interfaces, infrastructure, documentation, and related materials are owned by Acti or its licensors.
These Terms do not grant you any ownership rights in Acti intellectual property.
You may not copy, modify, distribute, sell, lease, sublicense, reverse-engineer, or create derivative works based on Acti except as expressly permitted by these Terms or applicable law.
12. Feedback
If you provide feedback, suggestions, ideas, bug reports, feature requests, or other comments about Acti, you grant Acti a worldwide, perpetual, irrevocable, royalty-free license to use, modify, incorporate, commercialize, and otherwise exploit such feedback without restriction or compensation to you.
13. Privacy
Acti's collection, use, storage, sharing, and protection of personal information is described in the Acti Privacy Policy.
By using the Services, you acknowledge that Acti will process information as described in the Privacy Policy.
If you connect third-party services, including Google services, Acti will process data from those services only as described in the Privacy Policy and as permitted by your authorization.
14. Suspension and Termination
You may stop using Acti at any time.
Acti may suspend, restrict, or terminate your access to the Services if:
- You violate these Terms;
- You misuse Acti, third-party integrations, APIs, or agentic capabilities;
- Your usage creates security, legal, operational, financial, or compliance risk;
- Required by law, court order, government request, or third-party platform policy;
- Acti discontinues a feature, integration, product, or service.
Upon termination, your right to access and use the Services will cease.
Certain provisions of these Terms will survive termination, including provisions related to intellectual property, user-generated content licenses, disclaimers, limitations of liability, indemnification, dispute resolution, and any payment obligations incurred before termination.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ACTI, ITS FOUNDERS, EMPLOYEES, CONTRACTORS, AFFILIATES, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
ACTI SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM:
- Your use of or inability to use the Services;
- AI-generated outputs or recommendations;
- User-approved or automated actions;
- Third-party services, APIs, models, integrations, or platforms;
- Unauthorized access, security incidents, or data loss beyond Acti's reasonable control;
- Service interruptions, errors, delays, or rate limits;
- User-generated content or community-shared configurations.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO ACTI IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100).
16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.
ACTI DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES;
- AI OUTPUTS WILL BE ACCURATE, COMPLETE, SAFE, LEGAL, OR APPROPRIATE;
- AUTOMATIONS OR AGENTIC ACTIONS WILL EXECUTE CORRECTLY OR ON TIME;
- THIRD-PARTY SERVICES OR APIS WILL REMAIN AVAILABLE OR COMPATIBLE;
- DATA RETRIEVED FROM THIRD-PARTY SOURCES WILL BE ACCURATE OR CURRENT.
17. Indemnification
You agree to defend, indemnify, and hold harmless Acti, its founders, employees, contractors, affiliates, partners, suppliers, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your use or misuse of the Services;
- Your violation of these Terms;
- Your violation of any law, regulation, or third-party right;
- Your user-generated content, shared configurations, prompts, workflows, or automations;
- Your use of third-party services through Acti;
- Any action taken through your account or connected services.
18. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of California, United States, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, except for claims relating to intellectual property rights or claims that may not be subject to arbitration under applicable law.
Class Action Waiver:
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, collective, or representative action.
19. Changes to These Terms
Acti may update these Terms from time to time to reflect changes in technology, law, product features, third-party integrations, pricing, or business operations.
If Acti makes material changes to these Terms, Acti will provide notice by email, in-app notice, website notice, or another appropriate method.
Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services.
